Balancivo Terms of Service
Effective October 20, 2026
What changed. These Terms add two optional email features, Zelle memos and Receipts from email (which can use Anthropic's AI to read a receipt), and the Subscriptions page (Sections 2, 4, 5, 6, 7, 8, 11 and 12); describe passkey sign-in (Section 3); describe split transactions, the check register, loans and mortgages, and the chart of accounts (Sections 2 and 6); and cover team invitation emails and deleting an organization in Settings (Sections 3 and 10). For accounts created before October 20, 2026, these changes take effect on November 19, 2026, or earlier if your organization turns Zelle memos or Receipts from email on; until then, the October 19, 2026 Terms apply to you.
Charter subscribers (October 19, 2026). Section 4 promises that subscriptions started before January 1, 2027 keep every feature Balancivo offers on December 31, 2026. It only adds to what you get, so it applies to everyone right away, whichever version of these Terms otherwise applies to you.
These Terms of Service ("Terms") are an agreement between you and Gnosis Concepts Inc. ("GCI," "we," "us"), a service-disabled veteran-owned small business in San Antonio, Texas. They cover your use of Balancivo at balancivo.com, including the web app at app.balancivo.com and its statement import, bank connections, Zelle memos, receipts from email, subscriptions, categorization and split transactions, chart of accounts, journal entries, check register, loans and mortgages, reconciliation, month close, invoices and bills, payroll records, the Form 941 worksheet, receipts, budgets, funds, reports and the Charis assistant (together, the "Service").
By signing up for an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't sign up, sign in or use the Service. If you use the Service for an organization, such as a business, church, ministry or nonprofit, you confirm that you have authority to accept these Terms for it, and "you" includes that organization.
1. Who can use Balancivo
- You must be at least 18 years old and able to enter a binding contract.
- The Service is for organizations and the people who work or volunteer for them, not for personal, family or household purposes.
- You may not use the Service if U.S. law bars you from receiving it.
2. The Service
Balancivo is bookkeeping software. You upload bank, card and loan statements yourself (PDF, CSV, OFX or QFX), and Balancivo turns them into categorized transactions. It remembers your category choices by merchant, lets you split a transaction among categories and keep your own chart of accounts, keeps a check register that clears checks against your statements, splits loan and mortgage payments into principal, interest and escrow, checks statement balances, lets you reconcile and close months, and produces reports such as profit and loss, balance sheet, cash flow, budget versus actual, fund balances, a 1099 vendor report and donor contribution statements.
Balancivo is a bookkeeping tool. It is not tax, accounting, audit or legal advice, and using it doesn't make GCI your accountant, bookkeeper, tax preparer or payroll provider. Balancivo records payroll, suggests withholding amounts and prepares a Form 941 worksheet for your review, but it does not pay employees, deposit payroll taxes or file any tax return or form for you.
Early access. Balancivo is in early access. Features may change, be added or be removed, and the Service may have errors or interruptions. We will tell you in advance about changes that materially reduce what you pay for.
Bank connections. Balancivo works from statements you upload, and on plans that include automatic bank connections, an owner can also connect the organization's bank accounts through Plaid. Section 8 and our Privacy Policy describe how it works.
Zelle memos. Zelle memos is an optional feature that adds the memo from your bank's Zelle email alerts to the matching transactions in your books. An owner can turn it on in Settings and either forward the alerts to a private Balancivo address or connect a mailbox (Gmail, Outlook, or another provider with an app password). By connecting a mailbox, you authorize Balancivo to sign in to it with read-only access, look for Zelle alerts from banks every 15 minutes, and keep the details our Privacy Policy lists. Please know:
- Connect only mailboxes you're allowed to. Connect or forward from a mailbox only if you control it or have permission from its owner and your organization, and only if your organization's email rules allow it.
- Memos don't move money. An alert only adds a memo to a transaction that came from your bank or statement. It never adds a transaction or changes an amount.
- Check the matches. Balancivo matches alerts by amount, direction, date and name, and that can be wrong, especially when two payments look alike. A forwarded email can't be fully verified as coming from your bank, so each alert shows who sent it. You can detach or move an alert in Settings.
- Your email provider's terms also apply. Google, Microsoft and other providers can change, limit or end the access Balancivo uses, and may ask you to sign in again. When that happens, Zelle memos stop until you reconnect. You can disconnect at any time in Settings.
Receipts from email and subscriptions. Receipts from email is an optional feature that reads receipts and invoices forwarded to a private Balancivo address or found in the mailboxes connected in Settings, keeps a PDF of each, attaches it to the matching charge and suggests a category. The mailbox authorization and rules under Zelle memos apply to it too. When Balancivo's own reader can't read a receipt and the owner hasn't turned AI reading off, the receipt email is sent to Anthropic's AI to read, within your plan's monthly allowance. The Subscriptions page lists recurring charges Balancivo finds and can email owners reminders. Receipt details, matches, suggested categories and the subscriptions Balancivo finds can be wrong or incomplete, so check them; a receipt never adds or changes money in your books.
Charis, the Balancivo assistant. Charis is an optional assistant that answers questions about using Balancivo and general bookkeeping, finance and tax questions, and can open the screen you need. Please know:
- Charis doesn't read your books. It can't see your transactions, payroll, reports or other records, only the questions you type. It can't change anything in your books or act for you.
- Its answers are general information, not advice. They aren't tax, accounting, legal, investment or financial advice for your situation, and they may be incomplete, out of date or wrong. Talk with your CPA, tax preparer or financial advisor before you make a decision or file anything based on an answer.
- It's powered by AI. Charis uses Anthropic's Claude to write its answers, so the questions you type are sent to Anthropic for that purpose, as our Privacy Policy explains. Don't type Social Security numbers, account numbers or other private details into it.
- You can turn it off. An owner can turn Charis off for the whole organization, and anyone can turn it off for themselves, in Settings. We may change, limit or stop Charis at any time.
Not a bank or government service. Balancivo is an independent product. It is not affiliated with, endorsed by or operated for any bank, card issuer, Plaid, Zelle or Early Warning Services, Google, Microsoft, the IRS or any state tax agency. Zelle and the Zelle-related marks are owned by Early Warning Services, LLC.
3. Accounts and organizations
- Keep your sign-in details confidential, and tell us right away at info@agilegnosis.com if you think your account has been used without permission. Owners must use two-step sign-in with an authenticator app, and we encourage everyone else to turn it on in Settings. You can also sign in with a passkey, which your device unlocks with your fingerprint, face or PIN. Your device keeps your fingerprint or face. Anyone who can unlock your device that way can use the passkey, so set one up only on devices only you use. If two-step sign-in is on, you still enter your code after a passkey.
- Each organization's books are visible to every member of that organization. The owner controls access: the owner invites people (Balancivo emails each invited person an invitation that shows the owner's email address and the organization's name, so invite only people you're allowed to email for this purpose), chooses whether each person is an owner or a bookkeeper, and can remove anyone. Only owners can see the audit log, manage accounts, change the chart of accounts, set up loans, turn on Zelle memos and connect mailboxes, and close or reopen months. You are responsible for the people you invite and for what they do in your organization.
- Give us accurate account information and keep it current.
4. Fees and billing
- Subscriptions. Balancivo plans (Starter $15, Standard $39 and Plus $79 a month, or ten times the monthly price billed yearly) are bought at agilegnosis.com. Billing starts at checkout, and Stripe charges your card in advance each month or year until you cancel. Each plan has the limits shown on its plan page, such as organizations, people, automatic bank connections, people on payroll, Charis messages and AI receipt reads each month. New organizations get a 7-day free trial. The founding offer gives you Standard for $15 a month for your first 12 months; after that Standard's list price applies, or you can switch to Starter and keep paying $15. Founding seats bought before October 13, 2026 keep their $15 rate for as long as that subscription stays active. If you cancel and come back later, current pricing applies.
- Charter subscribers. A Balancivo subscription that starts before January 1, 2027 (12:00 a.m. Central Time) is a charter subscription. For as long as it stays active, it includes every feature Balancivo offered on December 31, 2026, at no extra charge, even if we later sell that feature separately as an add-on. Your plan's limits and allowances still apply (such as organizations, people, automatic bank connections, people on payroll, Charis messages and AI receipt reads each month), and switching plans keeps charter status. Charter status covers features, not price: the price-change terms below still apply. Charter status ends permanently if the subscription is canceled (when its last paid period ends) or if a payment fails and isn't fixed within 7 days of the first failed attempt. Fixing a failed payment within those 7 days keeps charter status, even if your books were read-only for part of that time. If you subscribe again after charter status ends, the new subscription isn't a charter subscription.
- Cancelling. You can cancel at any time by emailing info@agilegnosis.com or replying to your welcome email. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Refunds. Fees are not refundable, including for partly used months, except where the law requires a refund or we charged you in error. If you were charged in error, email us within 60 days and we will make it right.
- Price changes. We will give you at least 30 days' notice before a price change applies to an existing subscription.
- Taxes. Prices don't include taxes. You are responsible for any taxes that apply.
5. Your content
"Your Content" is everything you or your organization put into the Service: statements and receipts you upload, accounts, transactions and their split parts, your chart of accounts, categories and rules, column mappings, checks, loan terms and lender balances, Zelle alert details, closed periods, contacts, employee and payroll records, invoices and bills, budgets, funds, fixed assets, notes and the reports made from them.
- You own Your Content. We claim no ownership of it.
- Our limited license. You let us host, copy, process, transmit and display Your Content only to run, secure and support the Service for you, including storing it with the service providers listed in our Privacy Policy.
- We don't sell Your Content or use it for advertising. We don't use it to train AI models, and we never send your books to an AI provider. Charis receives only the questions you type, and only a receipt email Balancivo can't read on its own is sent to an AI provider to read, when your organization uses Receipts from email with AI reading on.
- Your responsibility. You confirm that you have the rights needed to upload Your Content, including statements, receipts, forwarded or connected email, and the personal information of employees, donors, customers and vendors that it contains.
6. Your books and reports
Balancivo helps you keep your books, but you are responsible for them.
- Check before you rely on it. Statements can be read incorrectly, especially PDFs, and automatic categories, merchant suggestions, balance checks, depreciation, paycheck calculations, tax helpers, the Form 941 worksheet, check matching, loan interest and principal splits, lender statement adjustments, Zelle memo matches, receipts read from email and their matches and suggested categories, the subscriptions list, imported charts of accounts and Charis answers can be wrong or incomplete. Loan interest is estimated from the rate and balance you enter, so compare it with your lender's statements. Review every categorization, balance and report before you use it for taxes, payroll, a loan application, a board or member report, a grant report or any other purpose.
- Imported data. Transactions come from the statements and files you choose to import, and memos and receipts from the emails you forward or connect. We are not responsible for errors in those files or emails, or for errors that come from importing the wrong file, the wrong account or the wrong period.
- Get professional advice. Talk to a qualified accountant, tax preparer or attorney about how to categorize, report or file anything. Tax rates, wage bases and filing thresholds built into Balancivo, and anything Charis tells you, may not fit your situation and can change.
- Your chart of accounts. You decide how your accounts are named, numbered, grouped and typed. Balancivo won't delete an account that has history, but changing your chart changes how your reports are laid out.
- Closed months. When a month is closed, Balancivo blocks adding, changing or deleting transactions in it until an owner reopens it, and the audit log records changes to your books. These controls help, but they don't replace your own review or an audit.
7. Acceptable use
You agree not to:
- break any law or regulation;
- use the Service to keep false books, hide income, or mislead a tax agency, lender, funder, donor, board or auditor;
- upload material you have no right to share, or malware;
- try to probe, scan or break the security of the Service or another organization's data;
- overload the Service or get around its limits or access controls, including Charis's message allowance, the AI receipt reading allowance and the limits on invitations, Zelle alerts and receipts;
- use invitations to send unwanted email, or connect or forward a mailbox you aren't authorized to;
- use Charis for anything other than help with your organization's bookkeeping, finances and taxes and with using Balancivo, try to make it produce harmful or unlawful content, or query it automatically;
- copy, resell or rebuild the Service, or scrape it, except for exporting Your Content; or
- use the Service to build a competing product.
We may suspend access that violates this section or puts the Service, other customers or third parties at risk. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
8. Bank data and third parties
Balancivo uses the transactions and balances in the statements you upload as they are. If the optional Plaid bank connection is turned on and an owner uses it, Balancivo receives account and transaction data from your bank through Plaid and passes it into your books as the bank reports it. Your use of Plaid is also subject to Plaid's own terms and privacy policy. If your organization turns on Zelle memos or Receipts from email, Balancivo reads Zelle alerts or receipts from the mailbox you connect or forward from, and your use of Google, Microsoft or your other email provider is subject to its own terms. Banks can delay, change or correct their data, so compare your books with your bank statements. Third-party sites we link to have their own terms, and we aren't responsible for them.
9. Our property
The Service, including its software, design, built-in charts of accounts, merchant suggestions and trademarks, belongs to Gnosis Concepts Inc. and its licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms while your account is active. If you send us feedback or suggestions, we may use them without any obligation to you.
10. Ending your account
- You can stop using the Service at any time. An owner can delete an organization and all of its books in Settings (Delete this company), after disconnecting its banks and removing its uploaded files. Deleting an organization can't be undone, and we can't restore it, so download what you need first. To close your account, or to have us delete your organization's books and uploaded files, email info@agilegnosis.com from the owner's email address. We will handle it as described in our Privacy Policy.
- Getting your data. While your account is active, you can download reports as CSV files and print them to PDF. When your account ends, or within 30 days after, you can ask us for a copy of your organization's transactions in CSV and its uploaded statements and receipts, and we will send it to you.
- We may suspend or end your access if you materially breach these Terms, if your payment fails and isn't fixed within 14 days, or if the law requires it. If we discontinue the Service, we will give you at least 30 days' notice and a chance to export Your Content.
- Sections 4 (amounts owed), 5, 6, 9 and 11 through 14 continue after your account ends.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, that statements, email alerts or receipts will be read correctly, or that categorizations, matches, balances, calculations, reports or Charis answers will be accurate or complete or meet any tax, accounting or legal requirement.
12. Limitation of liability
To the fullest extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, funding or data, even if told they were possible;
- we are not liable for taxes, penalties, interest, fees or other losses that result from errors in imported data, email alerts or receipts, or from relying on categorizations, matches, balances, calculations, reports or Charis answers you didn't check with a qualified professional; and
- our total liability for all claims about the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) $100.
These limits don't apply to your payment obligations, to either party's fraud or willful misconduct, or where the law doesn't allow them.
13. Indemnity
You will defend and indemnify Gnosis Concepts Inc. against third-party claims, and the resulting losses and reasonable legal fees, that arise from Your Content, from tax returns, filings or reports you prepare or submit using the Service, or from your violation of these Terms or the law.
14. Disputes and governing law
- Texas law governs these Terms, without regard to conflict-of-law rules.
- If a dispute comes up, email us first at info@agilegnosis.com, and we will both try in good faith to resolve it within 30 days.
- If we can't, the state and federal courts in Bexar County, Texas have exclusive jurisdiction, and both parties consent to them. Either party may still seek urgent court relief to protect its property or data.
15. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms. If you don't agree, you can cancel before then.
16. General
These Terms and the Privacy Policy are the whole agreement about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right isn't a waiver of it. You may not transfer these Terms without our consent; we may transfer them in a merger, acquisition or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control.
